Consignment Terms & Conditions

Thank you for choosing KCLUXURY BAGS AND ACCESSORIES CONSIGNMENT CORP. (“KCLUXURYBAGS”) as your trusted luxury consignment partner.

Our Consignment Program is designed to provide a secure, transparent, and professional platform for the sale of authentic luxury handbags, accessories, watches, jewelry, and other luxury Products. These Consignment Terms & Conditions establish the rights and responsibilities of both KCLUXURYBAGS and the Consignor throughout the consignment process.

By submitting an item for evaluation, signing a Consignment Agreement, confirming the consignment through written communication, or otherwise proceeding with a consignment transaction, the Consignor acknowledges that they have read, understood, and agree to be bound by these Consignment Terms & Conditions together with our Terms & Conditions, Authentication Guarantee, Privacy Policy, Payment Terms & Conditions, and any other applicable Policies published by KCLUXURYBAGS.

1. Scope and Application

  • 1.1 Coverage — These Consignment Terms & Conditions apply to every consignment transaction entered into with KCLUXURYBAGS, including the evaluation, authentication, storage, marketing, listing, sale, payout, withdrawal, return, and other Services relating to consigned luxury Products.

    Unless otherwise agreed in writing, these Terms apply to all items accepted for consignment, regardless of the brand, product category, or selling platform used by KCLUXURYBAGS.
  • 1.2 Relationship with Other Policies — These Consignment Terms & Conditions should be read together with our Terms & Conditions, Authentication Guarantee, Product Condition Guide, Payment Terms & Conditions, Privacy Policy, Shipping & Delivery Policy, Return & Refund Policy, and any other Policies applicable to the transaction.

    Where another Policy specifically governs a particular aspect of the consignment process, that Policy shall supplement these Terms. In the event of any inconsistency, the Policy specifically governing the relevant transaction or Service shall prevail to the extent of the inconsistency.
  • 1.3 Acceptance of Terms — A Consignment Agreement shall be deemed accepted upon the earliest of the following:

    execution of a written Consignment Agreement; written confirmation through email, messaging applications, or other communication channels recognized by KCLUXURYBAGS; delivery of the item to KCLUXURYBAGS for the purpose of consignment following acceptance by our team; or any other conduct demonstrating the Consignor’s intention to proceed with the consignment transaction.

    Acceptance constitutes the Consignor’s agreement to be legally bound by these Consignment Terms & Conditions.

2. Consignment Eligibility

  • 2.1 Accepted Products — KCLUXURYBAGS accepts selected authentic luxury handbags, small leather goods, watches, jewelry, accessories, and other luxury Products that satisfy our authentication, condition, quality, and commercial standards.

    Acceptance of an item for evaluation does not guarantee acceptance for consignment.
  • 2.2 Product Standards — To be eligible for consignment, an item must satisfy the standards established by KCLUXURYBAGS, including authenticity, overall condition, completeness, marketability, and commercial viability.

    The Consignor is expected to disclose all material information that may reasonably influence our decision to accept, reject, market, price, or sell the item.
  • 2.3 Right to Decline — KCLUXURYBAGS reserves the right to decline any item, either before or after inspection, where the item does not satisfy our authenticity requirements, condition standards, commercial expectations, operational Policies, legal obligations, or business objectives.

    Our decision to decline an item shall be final and need not be accompanied by a detailed explanation.

3. Consignor Representations and Warranties

  • 3.1 Ownership and Authority — The Consignor represents and warrants that they are the lawful and beneficial owner of the consigned item or otherwise possess full legal authority to consign and authorize its sale through KCLUXURYBAGS.

    The Consignor further represents that the item is free from any lien, pledge, financing arrangement, security interest, court order, ownership dispute, or other legal encumbrance that may affect its lawful sale or transfer.
  • 3.2 Authenticity — The Consignor represents and warrants that the consigned item is authentic to the best of their knowledge and belief and that all information, documents, certificates, receipts, and provenance provided in relation to the item are genuine, accurate, and complete.

    Nothing in this provision limits KCLUXURYBAGS’ right to conduct independent authentication in accordance with our Authentication Guarantee.
  • 3.3 Full Disclosure — The Consignor agrees to fully and honestly disclose all material information known to them regarding the item, including previous repairs, restoration, recoloring, repainting, glazing work, replacement parts, alterations, professional spa treatments, odor, mold, water exposure, smoke exposure, storage damage, structural concerns, missing accessories, prior authentication concerns, and any other circumstance that may reasonably influence the value, condition, authenticity, or marketability of the item.

    Failure to disclose material information may result in rejection of the item, revision of pricing, termination of the consignment, delay of settlement, recovery of losses, or any other remedy available under these Terms or Applicable Law.
  • 3.4 Continuing Accuracy — The representations and warranties contained in this Section shall be deemed continuing representations throughout the entire consignment period and shall survive the completion, termination, cancellation, withdrawal, or expiration of the consignment arrangement where necessary to resolve any dispute arising from inaccurate or incomplete disclosures.
  • 3.5 Indemnity for False Representations — The Consignor acknowledges that KCLUXURYBAGS relies upon the representations and warranties contained in these Terms when accepting an item for consignment.

    Where any representation proves to be false, misleading, incomplete, or inaccurate, the Consignor shall remain responsible for any resulting losses, liabilities, costs, claims, damages, or expenses incurred by KCLUXURYBAGS, without prejudice to any other rights or remedies available under these Terms or Applicable Law.

4. Product Submission and Inspection

  • 4.1 Submission of Items — The Consignor is responsible for arranging and bearing all costs associated with delivering the consigned item to KCLUXURYBAGS, unless otherwise agreed in writing.

    The risk of loss or damage during transit remains with the Consignor until the item has been physically received, inspected, and formally acknowledged by KCLUXURYBAGS through written confirmation or other official communication.
  • 4.2 Initial Inspection — Upon receipt of the item, KCLUXURYBAGS will conduct an initial inspection to assess its physical condition, completeness, apparent authenticity, accessories, and overall suitability for consignment.

    The purpose of this inspection is to document the condition of the item upon arrival and to determine whether it satisfies our operational and commercial standards. Acceptance for inspection does not constitute acceptance for consignment.
  • 4.3 Documentation of Condition — As part of our intake process, KCLUXURYBAGS may photograph, video record, measure, and document the item, its accessories, serial numbers, date codes, hardware, packaging, certificates, receipts, and any visible characteristics or imperfections.

    This documentation shall serve as the official intake record of the item’s condition and inclusions at the time it is received by KCLUXURYBAGS and may be relied upon in resolving future questions relating to condition, handling, authenticity, damage, or ownership.
  • 4.4 Undisclosed Conditions — If, during inspection, KCLUXURYBAGS discovers any material condition, defect, alteration, restoration, repair, modification, missing accessory, authenticity concern, or other circumstance that was not previously disclosed by the Consignor, we may, at KCLUXURYBAGS’ sole and absolute discretion:
    • decline the item for consignmentrecommend a revised selling pricerequire additional authentication or evaluationsuspend the consignment process pending clarificationterminate the proposed consignment arrangement.

    Any additional costs reasonably incurred as a result of undisclosed information may be charged to the Consignor where permitted under these Terms.
  • 4.5 Final Acceptance — An item shall not be considered officially accepted for consignment until:
    • the inspection process has been completedany required authentication has been completed or arrangedthe final selling price and commission structure have been agreed uponthe Consignor has confirmed the final consignment terms in writingKCLUXURYBAGS has issued confirmation that the item has been accepted for listing.

    Until these requirements have been satisfied, KCLUXURYBAGS may decline to proceed with the consignment without incurring liability.

5. Authentication

  • 5.1 Independent Authentication — Every item accepted for consignment is subject to KCLUXURYBAGS’ authentication requirements.

    Authentication is performed through independent authentication providers selected by KCLUXURYBAGS based on the nature, brand, and characteristics of the item. The authentication process is governed by our Authentication Guarantee, which forms an integral part of these Consignment Terms & Conditions.
  • 5.2 Authentication Documentation — Where the Consignor provides an existing authentication certificate or similar documentation, KCLUXURYBAGS may consider such documentation during the evaluation process.

    However, KCLUXURYBAGS reserves the right to require additional or independent authentication where reasonably necessary, regardless of any documentation previously obtained by the Consignor.
  • 5.3 Authentication Costs — Where an item is submitted without an authentication certificate acceptable to KCLUXURYBAGS, we may arrange authentication through an independent authentication provider.

    Unless otherwise agreed in writing, all authentication fees, service charges, shipping costs, taxes, and related expenses incurred in connection with such authentication shall be borne by the Consignor.
  • 5.4 Authentication Outcome — If an item fails authentication, cannot be authenticated to the reasonable satisfaction of KCLUXURYBAGS, or presents unresolved authenticity concerns, KCLUXURYBAGS may reject the item and terminate the proposed consignment.

    The Consignor shall remain responsible for any applicable authentication fees and for all costs associated with the return of the item.
  • 5.5 Independent Professional Opinions — The Consignor acknowledges that authentication is based on the professional opinion of independent authentication providers.

    Different authentication providers may occasionally reach different conclusions regarding the same item. Accordingly, authentication opinions should not be interpreted as scientific certainty or an absolute guarantee, and KCLUXURYBAGS shall not be responsible for differences in professional opinion among independent authenticators acting in good faith.

6. Condition Assessment

  • 6.1 Product Grading — The physical condition of every accepted item shall be assessed by KCLUXURYBAGS in accordance with our Product Condition Guide.

    The assigned condition grade reflects KCLUXURYBAGS’ professional assessment of the item’s overall condition at the time of inspection and shall be used for listing, marketing, and sales purposes.
  • 6.2 Natural Characteristics — The Consignor acknowledges that luxury Products naturally change over time through age, storage, environmental exposure, and normal material characteristics.

    Natural leather creasing, softening, hardware patina, glazing changes, minor shape variations, and other characteristics consistent with authentic luxury materials shall not automatically be regarded as defects or evidence of improper handling by KCLUXURYBAGS.
  • 6.3 Market Presentation — KCLUXURYBAGS may prepare product descriptions, photographs, videos, measurements, condition summaries, and other listing materials based on our inspection and professional assessment.

    While we strive to present every item accurately, KCLUXURYBAGS retains editorial discretion regarding the manner in which an item is described, photographed, marketed, and presented to prospective buyers, provided that such presentation is fair and not materially misleading.

7. Pricing and Consignment Period

  • 7.1 Consignment Period — Unless otherwise agreed in writing, the standard consignment period shall be thirty (30) calendar days, commencing on the date the item is formally accepted for consignment by KCLUXURYBAGS.

    Upon expiration of the consignment period, the parties may mutually agree to renew the consignment under the same or revised terms.
  • 7.2 Agreed Selling Price — The selling price of each consigned item shall be mutually agreed upon by KCLUXURYBAGS and the Consignor following inspection, authentication (where applicable), and evaluation of the item’s condition, market demand, rarity, and other relevant commercial considerations.

    Any preliminary pricing communicated before physical inspection shall be considered an estimate only and shall not be binding upon either party.
  • 7.3 Price Adjustments — Luxury resale values may fluctuate due to market demand, availability, seasonal trends, currency movements, or other commercial factors.

    Where KCLUXURYBAGS believes that a price adjustment would materially improve the likelihood of a successful sale, we may recommend a revised selling price to the Consignor. No permanent adjustment to the agreed selling price shall be implemented without the Consignor’s prior written approval.

    Nothing in this Section prevents KCLUXURYBAGS from conducting ordinary marketing activities, promotional campaigns, or negotiating with prospective buyers within pricing parameters previously approved by the Consignor.
  • 7.4 Exclusive Consignment — During the consignment period, the Consignor grants KCLUXURYBAGS the exclusive right to market and sell the consigned item.

    The Consignor agrees not to advertise, list, consign, negotiate, or sell the same item through another individual, business, marketplace, auction platform, social media account, or other sales channel during the exclusivity period without the prior written consent of KCLUXURYBAGS.

    If the Consignor breaches this exclusivity obligation, KCLUXURYBAGS reserves the right to terminate the consignment immediately and recover any applicable fees, costs, damages, or other remedies available under these Terms or Applicable Law.
  • 7.5 No Guarantee of Sale — Consignment does not guarantee that an item will be sold within the consignment period or at any particular price.

    KCLUXURYBAGS makes no representation or warranty regarding the timing of a sale, the level of buyer interest, market performance, or the final selling price of any consigned item.

8. Commission and Settlement

  • 8.1 Commission — KCLUXURYBAGS shall receive a commission for successfully facilitating the sale of a consigned item.

    The applicable commission shall be mutually agreed upon during the intake process and confirmed in the Consignment Agreement or other written confirmation between the parties.
  • 8.2 Payment to the Consignor — Settlement shall become due only after all of the following conditions have been satisfied:

    the buyer has fully settled the purchase price; the applicable buyer warranty or review period has expired without an approved return, authenticity concern, payment dispute, or chargeback; and KCLUXURYBAGS has received cleared and irrevocable payment for the transaction.

    Subject to the foregoing conditions, payment shall generally be released to the Consignor within one (1) to three (3) business days through the payment method agreed upon by the parties.
  • 8.3 Delayed Settlement — KCLUXURYBAGS may reasonably delay settlement where necessary to investigate authenticity concerns, buyer complaints, payment disputes, suspected fraud, chargebacks, legal claims, regulatory requirements, banking delays, or other circumstances affecting the validity or completion of the transaction.

    The Consignor acknowledges that such delays are intended to protect both parties and shall not constitute a breach of these Terms.
  • 8.4 Buyer Layaway — Where KCLUXURYBAGS permits a buyer to purchase a consigned item through an approved layaway or installment arrangement, settlement to the Consignor shall be made only after the buyer has fully completed all required payments and the conditions set out in Section 8.2 have been satisfied.
  • 8.5 Deductions — KCLUXURYBAGS may deduct from the Consignor’s settlement any amounts properly chargeable under these Terms, including agreed commissions, authentication costs, unpaid pull-out fees, approved storage charges, courier expenses, taxes required by law, or other amounts expressly agreed upon between the parties.

9. Marketing and Promotional Rights

  • 9.1 Authority to Market — The Consignor authorizes KCLUXURYBAGS to market, advertise, display, promote, and offer the consigned item for sale through any sales or marketing channel operated by or on behalf of KCLUXURYBAGS.

    This authority includes our Website, social media platforms, live selling sessions, private client groups, messaging applications, email campaigns, promotional events, advertisements, and other present or future marketing channels.
  • 9.2 Marketing Materials — KCLUXURYBAGS may photograph, film, record, edit, crop, enhance, watermark, publish, reproduce, and otherwise use images, videos, descriptions, and other marketing materials relating to the consigned item for promotional and commercial purposes.

    The Consignor grants KCLUXURYBAGS a non-exclusive, royalty-free license to create and use such marketing materials for the duration of the consignment and to retain archival copies after the consignment has ended.
  • 9.3 Editorial Discretion — KCLUXURYBAGS shall have sole and absolute discretion regarding how a consigned item is presented, photographed, described, priced within agreed parameters, advertised, promoted, and marketed.

    Nothing in these Terms shall require KCLUXURYBAGS to publish an item on every available platform or to follow any particular marketing strategy requested by the Consignor.
  • 9.4 No Compensation for Marketing — The Consignor acknowledges that all marketing activities undertaken by KCLUXURYBAGS are included as part of our consignment Services.

    Except as expressly agreed in writing, the Consignor shall not be entitled to separate compensation, royalties, licensing fees, or other payments arising from the creation or use of marketing materials relating to the consigned item.

10. Storage, Care, and Handling

  • 10.1 Standard of Care — KCLUXURYBAGS shall exercise reasonable care in the storage, handling, display, transportation, and safekeeping of consigned items while they remain in our custody.

    Reasonable care does not constitute a guarantee against all forms of loss, deterioration, or damage.
  • 10.2 Natural Aging — Luxury Products are made from materials that naturally change over time.

    KCLUXURYBAGS shall not be responsible for ordinary aging, leather softening, glazing changes, hardware patina, adhesive deterioration, minor structural relaxation, environmental effects, or other natural characteristics that develop despite reasonable care.
  • 10.3 Buyer Viewings — KCLUXURYBAGS may allow prospective buyers to inspect or view consigned items in accordance with our Bag Viewing Policy and internal security procedures.

    Where damage is directly caused by a prospective buyer during an authorized viewing, KCLUXURYBAGS will take reasonable steps to hold the responsible party accountable.

    KCLUXURYBAGS shall not be responsible for damage occurring during a viewing unless such damage is directly caused by the negligence or willful misconduct of KCLUXURYBAGS or its personnel.
  • 10.4 Custody Records — KCLUXURYBAGS may maintain photographs, videos, inspection reports, inventory records, and other documentation throughout the consignment period.

    Such records may be relied upon in resolving questions concerning the condition, handling, storage, or return of the consigned item.

11. Withdrawal of Consigned Items

  • 11.1 Withdrawal Before Sale — The Consignor may request the withdrawal of a consigned item at any time before a binding sale has been completed, provided that written notice is given to KCLUXURYBAGS.

    Withdrawal requests shall be subject to the terms of this Agreement, including any applicable fees, costs, or outstanding obligations owed by the Consignor.
  • 11.2 Pull-Out Fee — Where a Consignor elects to withdraw a consigned item before the expiration of the agreed consignment period, a pull-out fee of Two Thousand Pesos (PHP 2,000.00) shall apply for each withdrawn item.

    The pull-out fee is intended to partially recover the administrative, operational, photography, marketing, storage, and other resources invested by KCLUXURYBAGS in preparing and promoting the consigned item.

    KCLUXURYBAGS reserves the right to revise this fee from time to time, provided that any revised fee shall apply only to future consignment agreements entered into after such revision has been communicated.
  • 11.3 Items Already Under Negotiation — A withdrawal request may not be immediately processed where the consigned item is already subject to an ongoing buyer negotiation, approved reservation, pending payment, completed sale, or other transaction that has materially progressed.

    In such circumstances, KCLUXURYBAGS shall determine the appropriate course of action in good faith while balancing the interests of all parties involved.

12. Unsold and Unclaimed Items

  • 12.1 Expiration of Consignment — Upon the expiration of the consignment period, KCLUXURYBAGS shall notify the Consignor regarding the status of the consigned item and arrange for either renewal of the consignment or retrieval of the item.
  • 12.2 Collection of Unsold Items — Unless the parties agree to extend the consignment period, the Consignor shall retrieve the unsold item within thirty (30) calendar days from the date of notice that the consignment has ended.

    The Consignor shall be responsible for any costs associated with retrieval, including courier charges where applicable.
  • 12.3 Storage Charges — If the Consignor fails to retrieve the item within the collection period, KCLUXURYBAGS may, upon prior notice, impose reasonable storage charges until the item has been collected.

    Storage charges shall accrue from the date specified in the notice and shall remain payable before the item is released to the Consignor.
  • 12.4 Abandoned Property — Where a consigned item remains unclaimed despite reasonable attempts by KCLUXURYBAGS to contact the Consignor for a period exceeding thirty (30) calendar days after the retrieval deadline, the item may be considered abandoned to the extent permitted by Applicable Law.

    In such circumstances, KCLUXURYBAGS may exercise one or more of the following remedies:

    continue storing the item at the Consignor’s expense; sell the item to recover unpaid storage fees, authentication costs, administrative expenses, or other lawful charges; dispose of the item where commercially reasonable or legally necessary; or exercise any other remedy available under Applicable Law.

    Where the proceeds of any sale exceed the amounts lawfully recoverable by KCLUXURYBAGS, any remaining balance shall be handled in accordance with Applicable Law.

13. Buyer Claims and Disputes

  • 13.1 Management of Buyer Concerns — KCLUXURYBAGS shall have the sole authority to receive, investigate, manage, negotiate, and resolve buyer complaints, warranty claims, authenticity concerns, payment disputes, chargebacks, and other post-sale issues relating to consigned items.

    The Consignor agrees to cooperate with any reasonable requests for information or documentation necessary to resolve such matters.
  • 13.2 Settlement of Claims — Where a buyer claim requires investigation, KCLUXURYBAGS may temporarily suspend payment to the Consignor until the matter has been reasonably resolved.

    Such suspension shall not constitute a breach of these Terms and shall be limited to the period reasonably necessary to complete the investigation.
  • 13.3 Cooperation — The Consignor shall promptly provide any information, documentation, receipts, certificates, photographs, correspondence, or other materials reasonably requested by KCLUXURYBAGS in connection with any buyer inquiry, authenticity review, legal claim, or regulatory investigation.

    Failure to cooperate may affect the processing of settlements or other obligations under this Agreement.

14. Confidentiality

  • 14.1 Confidential Information — KCLUXURYBAGS recognizes that luxury transactions often involve sensitive personal and commercial information.

    Subject to Applicable Law, KCLUXURYBAGS shall take reasonable measures to maintain the confidentiality of the Consignor’s personal information, identity, transaction details, pricing arrangements, payout information, and other non-public information obtained during the consignment relationship.
  • 14.2 Permitted Disclosures — Nothing in these Terms prevents KCLUXURYBAGS from disclosing information where disclosure is:

    required by law, court order, or lawful government request; reasonably necessary to complete authentication, payment processing, shipping, insurance (where applicable), or other Services relating to the consignment; required to protect the rights, property, reputation, or legal interests of KCLUXURYBAGS; or authorized in writing by the Consignor.
  • 14.3 Continuing Confidentiality — The confidentiality obligations contained in this Section shall continue even after the consignment has ended, except where disclosure is subsequently permitted or required by law.

15. Limitation of Liability

  • 15.1 Standard of Responsibility — KCLUXURYBAGS shall exercise reasonable care while consigned items remain in our custody.

    Except where loss or damage is directly caused by the proven negligence or willful misconduct of KCLUXURYBAGS or its personnel, we shall not be liable for any loss, damage, deterioration, delay, or reduction in value affecting a consigned item.
  • 15.2 No Automatic Insurance — Unless expressly agreed in writing before the item is accepted for consignment, KCLUXURYBAGS does not provide insurance coverage for consigned items while they are in our custody.

    Consignors who require insurance are responsible for arranging their own coverage or entering into a separate written agreement with KCLUXURYBAGS regarding insurance.
  • 15.3 Circumstances Beyond Our Control — To the fullest extent permitted by Applicable Law, KCLUXURYBAGS shall not be responsible for loss or damage arising from circumstances beyond our reasonable control, including but not limited to fire, flood, typhoon, earthquake, theft, robbery, acts of third parties, civil disturbance, government action, power interruption, courier incidents, natural deterioration of luxury materials, or other force majeure events.
  • 15.4 Indirect Losses — KCLUXURYBAGS shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of anticipated profits, business opportunities, goodwill, or market value, except where such limitation is prohibited by Applicable Law.

16. Indemnification

  • 16.1 Consignor’s Indemnity — The Consignor agrees to defend, indemnify, and hold harmless KCLUXURYBAGS, its directors, officers, shareholders, employees, representatives, contractors, and affiliates from and against any claims, actions, liabilities, damages, losses, costs, expenses, fines, penalties, and reasonable legal fees arising directly or indirectly from:

    any breach of these Consignment Terms & Conditions; any false, inaccurate, incomplete, or misleading representation made by the Consignor; disputes relating to ownership of the consigned item; authenticity issues attributable to information or documentation supplied by the Consignor; undisclosed repairs, alterations, restorations, defects, or modifications; infringement of any third-party rights; or any unlawful act or omission of the Consignor.

    This indemnity shall survive the termination or completion of the consignment relationship.

17. Non-circumvention

  • 17.1 Protection of Business Relationships — The Consignor acknowledges that KCLUXURYBAGS invests substantial time, expertise, marketing resources, and commercial relationships in sourcing prospective buyers.

    Accordingly, during the consignment period and for six (6) months following the termination or completion of the consignment, the Consignor shall not directly or indirectly negotiate, conclude, or facilitate the sale of the consigned item with any buyer introduced by KCLUXURYBAGS for the purpose of avoiding the agreed commission or other obligations under these Terms.
  • 17.2 Circumvention — Where a sale is completed in violation of this Section, KCLUXURYBAGS reserves the right to recover the commission that would have been payable had the transaction been completed through our business, in addition to any other remedies available under Applicable Law.

18. Intellectual Property

  • 18.1 Ownership of Marketing Materials — All photographs, videos, written descriptions, graphics, promotional materials, listing content, advertisements, branding elements, and other marketing materials created by KCLUXURYBAGS in connection with the consigned item shall remain the exclusive property of KCLUXURYBAGS.

    Nothing in these Terms transfers ownership of such materials to the Consignor.
  • 18.2 Continued Use — KCLUXURYBAGS may retain and continue using photographs, videos, and other marketing materials after the item has been sold or the consignment has ended for archival, educational, historical, promotional, portfolio, or marketing purposes, unless otherwise required by law.

19. Force Majeure

  • 19.1 Events Beyond Reasonable Control — KCLUXURYBAGS shall not be liable for any delay, interruption, failure to perform, or inability to fulfill its obligations where such delay or failure results from events beyond our reasonable control.

    Such events include, but are not limited to:
    • natural disasters
    • fire
    • flood
    • typhoon
    • earthquake
    • epidemic or pandemic
    • acts of government
    • labor disputes
    • civil unrest
    • war
    • terrorism
    • power outages
    • telecommunications failures
    • transportation disruptions
    • other similar events beyond reasonable control.
  • 19.2 Suspension of Obligations — During the existence of a Force Majeure Event, the affected obligations shall be suspended for the duration reasonably necessary to address its effects.

    KCLUXURYBAGS shall resume performance as soon as reasonably practicable.

20. Governing Law and Dispute Resolution

  • 20.1 Governing Law — These Consignment Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
  • 20.2 Good Faith Resolution — Before commencing any legal proceedings, the parties agree to first attempt to resolve any dispute arising from these Terms through good faith discussions and mutual cooperation.
  • 20.3 Venue — Should legal proceedings become necessary, the parties agree that the proper courts of Pasig City, Metro Manila, to the exclusion of all other venues permitted by law, shall have exclusive jurisdiction, except where Applicable Law provides otherwise.

21. General Provisions

  • 21.1 Amendments — KCLUXURYBAGS may amend these Consignment Terms & Conditions from time to time.

    Updated versions shall apply prospectively upon publication on our official Website or upon written notice to the extent permitted by Applicable Law.
  • 21.2 Severability — If any provision of these Terms is declared invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
  • 21.3 No Waiver — Any delay or failure by KCLUXURYBAGS to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

    Any waiver shall be effective only if made expressly in writing.
  • 21.4 Entire Agreement — These Consignment Terms & Conditions, together with the applicable Consignment Agreement and all Policies expressly incorporated by reference, constitute the entire agreement between KCLUXURYBAGS and the Consignor concerning the consignment transaction.

    They supersede all prior discussions, negotiations, representations, understandings, or agreements relating to the same subject matter.
  • 21.5 Independent Relationship — Nothing contained in these Terms shall be construed as creating a partnership, joint venture, agency, employment, fiduciary relationship, or other similar relationship between KCLUXURYBAGS and the Consignor.

    The parties remain independent contracting parties at all times.
  • 21.6 Survival — Any provision which, by its nature, is intended to survive the completion, termination, expiration, or cancellation of the consignment shall continue in effect, including but not limited to provisions relating to confidentiality, indemnification, intellectual property, dispute resolution, limitation of liability, unpaid fees, and surviving obligations.
